These Terms of Use ("Terms") govern your access to and use of veritechdiligence.com (the "Site"). By visiting or using the Site, you agree to these Terms.
These Terms cover the Site itself and the free resources made available on it, including the technical risk inventory checklist. They do not govern the terms of an actual diligence engagement — if you retain Veritech to review a specific Target business, that relationship is governed by a separate, signed engagement agreement, which controls over these Terms wherever the two conflict.
Use of the Site
You may use the Site to learn about Veritech's services, download free resources, and contact us about a potential engagement. You agree not to use the Site in any way that violates applicable law, attempts to gain unauthorized access to our systems, or interferes with the Site's normal operation.
The free risk inventory and other content
"What to Check Before You Buy a Web-Based Business" and other free resources on this Site are provided for general informational and educational purposes. You may download, print, and share these resources for free, including with your advisors, co-investors, and broker, provided you do not alter their content or remove attribution to Veritech Diligence and its author.
These resources are a scoping checklist, not a substitute for a professional technical review. They do not create a client relationship between you and Veritech, and Veritech is not responsible for decisions made in reliance on the checklist alone, without a full engagement.
No engagement until signed
Nothing on this Site, including a scoping call, an email exchange, or a quoted price range, constitutes an engagement of Veritech's services. An engagement begins only once both parties have signed a written engagement agreement, which sets out scope, fees, deliverables, and the terms governing that specific review.
Intellectual property
The Site's design, text, and free resources are owned by Veritech or licensed to it, except where a resource's own terms state otherwise (see Section 2). You may not reproduce, resell, or represent Site content, including the risk inventory checklist, as your own work product.
No professional advice
Content on this Site, including the risk inventory checklist and any blog or resource content, addresses technical and data-integrity matters in general terms. It is not financial, legal, tax, or accounting advice, and it is not a substitute for advice from qualified professionals in those areas, or for a scoped technical diligence engagement addressing your specific Target.
No warranty; limitation of liability
The Site and its content are provided "as is," without warranty of any kind, express or implied. To the maximum extent permitted by law, Veritech is not liable for any damages arising from your use of, or reliance on, the Site or its free content, including any decision to proceed with, modify, or abandon a proposed acquisition based on information found here rather than a scoped engagement.
Third-party links
The Site may link to third-party tools or resources (for example, PageSpeed Insights or a scheduling tool). Veritech is not responsible for the content, accuracy, or practices of third-party sites, and linking to them does not imply endorsement.
Governing law
These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law principles.
Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
